These Terms of Service ("Terms") govern your access to and use of the Shymo platform, website, and related services (collectively, the "Services") provided by Shymo, Inc. ("Shymo," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.
By creating an account, accessing our website, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization.
Shymo provides a cloud-based SMS marketing and communications platform that enables businesses to send text messages, create automated workflows, manage conversations, and integrate with third-party tools. Our Services include the web-based dashboard, APIs, and related tools and documentation.

Shymo reserves the right to suspend or terminate accounts that violate messaging compliance requirements without notice.
Fees for Services are described on our pricing page and in your service agreement. All fees are non-refundable except as expressly stated. We may modify pricing with 30 days' notice. Overdue payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law.
Shymo retains all rights, title, and interest in the Services, including all related intellectual property. You retain ownership of your content and data. By using the Services, you grant us a limited license to process your content solely to provide the Services.
Our collection and use of personal information is described in our Privacy Policy. You are responsible for ensuring that your use of the Services complies with all applicable data protection laws.
We target 99.9% uptime for our core messaging services. Scheduled maintenance windows will be communicated in advance. Service credits may be available for qualifying downtime as described in your service agreement.
To the maximum extent permitted by law, Shymo's total liability for any claims under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
You agree to indemnify and hold harmless Shymo and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising from your use of the Services, your content, or your violation of these Terms.
Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms or the Acceptable Use Policy. Upon termination, you may request export of your data within 30 days.
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Kings County, New York.
We may modify these Terms at any time. Material changes will be communicated via email or through the Services with at least 30 days' notice. Continued use of the Services after changes take effect constitutes acceptance.
